These Terms of Service (“Terms”) are a legal agreement between you and NextAction, LLC (“NextAction,” “we,” “us,” or “our”), a Delaware limited liability company. They govern your access to and use of the nextaction.io website and the NextAction productivity application (collectively, the “Service”).
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
To use the Service, you must create an account with a valid email address. You agree to provide accurate, complete, and current information and to keep it up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You may not share your account with others. Notify us immediately at support@nextaction.io if you suspect unauthorized access.
You may close your account at any time by contacting us at support@nextaction.io. Upon closure, your data will be deleted in accordance with our Privacy Policy.
NextAction is a personal productivity application built around the Getting Things Done® (GTD®) methodology. The Service allows you to capture, organize, and manage tasks, projects, and reference material.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes where practicable. NextAction is not liable to you or any third party for any modification, suspension, or discontinuation.
During Alpha and Beta phases, the Service is provided for testing and feedback purposes. Features may be incomplete, unstable, or subject to change. We appreciate your participation and feedback.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

You retain full ownership of all content you create, upload, or store in the Service (“Your Content”), including your tasks, projects, notes, and reference material.
By using the Service, you grant NextAction a limited, non-exclusive, royalty-free license to store, process, and display Your Content solely as necessary to provide the Service to you. We do not claim any other rights to Your Content.
You are solely responsible for Your Content and the consequences of storing or sharing it. You represent that you have all rights necessary to grant us the license above.
The Service, including its software, design, text, graphics, and other content (excluding Your Content), is owned by NextAction or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our express written permission.
If you submit feedback, suggestions, or ideas about the Service, you grant NextAction an irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

The Service is free during Alpha, and no paid plans are offered. Before any paid plan is introduced, we will add billing, cancellation and refund terms to these Terms and notify you as described in Section 12.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
NextAction does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. You use the Service at your own risk.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXTACTION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID NEXTACTION IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless NextAction and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, Your Content, or your violation of these Terms.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in the State of Delaware. Each party waives its right to a jury trial.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
We may update these Terms from time to time. When we make material changes, we will notify you by email and/or by displaying a prominent notice in the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
If you do not agree to the revised Terms, you must stop using the Service and close your account.
